These Terms of Use (“Terms”) govern your access to and use of the Kumba website at https://kumba.pet, any Kumba appointment forms embedded on third-party websites, and related products and services provided by Kumba Technology, LLC (“Kumba,” “we,” “our,” or “us”), including our scheduling and routing tools, web interfaces, mobile applications, and SMS messaging program (collectively, the “Services”).
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
These Terms apply to (i) veterinary clinic staff and veterinarians who use Kumba to manage their practice (“Clinic Users”); (ii) pet owners who interact with Kumba because a veterinary clinic uses Kumba to manage their appointments (“Pet Owners”); and (iii) visitors to our website. Where a provision applies only to one category, we say so.
1. Eligibility and Authority
You represent that:
- You are at least the age of majority in your jurisdiction.
- You have the authority to accept these Terms on behalf of yourself or the organization you represent.
- The information you provide to us is accurate and kept up to date.
2. Services Overview
Kumba provides software tools intended to support appointment scheduling, route optimization, communication (including SMS messaging as described in Section 8), and workflow operations for veterinary and related service providers. Features may change over time.
These Terms of Use (“Terms”) govern your access to and use of the Kumba platform and services operated by Kumba Technology, LLC (“Kumba,” “we,” “us,” or “our”).
The “Services” include, without limitation:
- The website https://kumba.pet and all related pages
- The web application at https://app.kumba.pet
- Any mobile applications (iOS, Android, or otherwise)
- Embedded scheduling or intake forms hosted or powered by Kumba
- APIs, integrations, and software tools
- SMS messaging and communication services
- AI-powered scheduling, routing, and operational tools
- Any related features or services provided by Kumba
By accessing or using any of the Services, you agree to these Terms. If you do not agree, you must not use the Services.
These Terms apply to:
- Veterinary clinics and staff (“Clinic Users”)
- Veterinarians and service providers
- Pet owners interacting through clinics using Kumba (“Pet Owners”)
- Any other users of the Services
Description of Services:
Kumba provides a SaaS platform designed for mobile and hybrid veterinary clinics.
The Services enable:
- Appointment scheduling and management
- AI-powered routing and dispatch optimization
- Client communication and operational coordination
- Integration with veterinary practice management systems (PIMS)
- Embedded intake and scheduling forms on third-party websites
- SMS-based communication tools for appointment and account-related messaging
Veterinary clinics across the United States and Canada use Kumba to streamline scheduling and operations.
Kumba does not provide veterinary medical services, diagnosis, or treatment. All veterinary care is provided independently by licensed veterinary professionals.
These Terms apply regardless of how you access the Services, including:
- Directly through the Kumba website
- Through the web application
- Through mobile applications
- Through embedded clinic scheduling or intake forms
- Through APIs or third-party integrations
All such access is considered use of the Services under these Terms.
3. Accounts and Security
You are responsible for maintaining the confidentiality of account credentials and for all activity under your account. You must promptly notify us of any unauthorized use or security incident.
4. Acceptable Use
You agree not to:
- Use the Services in violation of any law or regulation, including the Telephone Consumer Protection Act, CAN-SPAM, state consumer protection laws, or carrier messaging policies.
- Interfere with or disrupt the Services, infrastructure, or security.
- Attempt unauthorized access to accounts, systems, or data.
- Reverse engineer, copy, scrape, or exploit the Services except as permitted by law.
- Use the Services to transmit malicious code, spam, or harmful content.
- Use the SMS functionality of the Services to send marketing or promotional messages, or any messages outside the transactional categories described in Section 8.
5. Clinic User Obligations Regarding Pet Owner Data
If you are a Clinic User, you are responsible for:
- Collecting Pet Owner phone numbers and other personal information only in compliance with applicable law.
- Obtaining any consents, providing any notices, and satisfying any other legal requirements applicable to your collection and use of Pet Owner information before entering that information into Kumba.
- Confirming, at the time you register a Pet Owner through the Kumba clinic administration panel, that the Pet Owner has authorized your clinic to contact them about appointments at the provided phone number.
- Retaining any records of Pet Owner consent that your clinic obtains outside of Kumba, and cooperating with Kumba if we need to verify or audit consent.
Kumba sends SMS messages to Pet Owners only after Kumba has obtained its own opt-in from the Pet Owner through one of the methods described in Section 8(c).
6. Customer Data
You retain rights to data you submit to the Services (“Customer Data”). You grant Kumba a limited right to host, process, transmit, and use Customer Data as necessary to provide, secure, and improve the Services and as otherwise permitted by applicable law.
You are responsible for obtaining all permissions, notices, and consents required for your Customer Data and communications with your clients, except where Kumba separately obtains consent for the SMS messaging program as described in Section 8.
7. Intellectual Property
The Services, including software, content, design, logos, and trademarks, are owned by or licensed to Kumba and are protected by intellectual property laws. Except for limited rights granted in these Terms, no rights are transferred to you.
8. SMS Messaging Program Terms
Sender
All SMS messages under this program are sent by Kumba Technology, LLC. Messages identify Kumba as the sender. Where a message relates to a Pet Owner’s relationship with a veterinary clinic, the message identifies both Kumba as the sender and the relevant clinic (for example, “Kumba on behalf of [Clinic Name]”).
Program description
Kumba operates a transactional SMS program that sends:
- One-time passcodes (OTP) for account login and verification to Clinic Users, veterinarians, and Pet Owners.
- Appointment confirmations and related notifications to Pet Owners, including confirmation of a scheduled appointment and a link to view, reschedule, or cancel the appointment.
- Initial opt-in confirmation messages to Pet Owners registered through the clinic administration panel, as described below.
No marketing or promotional messages are sent through this program.
Consent to receive messages
You agree to receive transactional SMS messages from Kumba Technology, LLC at the phone number you provided when you:
(i) create an account on https://kumba.pet or in the Kumba mobile app and check the SMS consent box during signup;
(ii) book an appointment through a Kumba appointment form embedded on a veterinary clinic’s website and check the SMS consent box; or
(iii) are registered by a veterinary clinic through the Kumba clinic administration panel and reply YES to the initial confirmation SMS that Kumba sends to your phone number. You will not receive further SMS messages from Kumba under path (iii) unless you reply YES.
Consent to receive SMS messages is not a condition of any purchase or of receiving veterinary services.
Message frequency
Message frequency varies based on your account activity and appointments. Kumba applies per-recipient frequency limits to reduce the likelihood of excessive messaging.
Costs
Message and data rates may apply. Kumba does not charge for SMS messages, but your wireless carrier may.
Supported carriers
Supported carriers include AT&T, T-Mobile, Verizon, Boost Mobile, Cricket Wireless, MetroPCS, U.S. Cellular, and other major U.S. carriers. Carriers are not liable for delayed or undelivered messages. T-Mobile is not liable for delayed or undelivered messages.
Geographic scope
This SMS messaging program is offered to U.S. and Canadian phone numbers.
Opt-out
You can cancel the SMS service at any time by replying STOP to any message. After you send STOP, we will send a confirmation message and will not send you any additional messages unless you opt in again. STOP applies across all Kumba SMS messages to that phone number, including across clinics where your number is associated with more than one clinic.
Help
For help with the SMS program, reply HELP to any message or contact support@kumba.pet.
Replies
Replies to SMS messages other than STOP or HELP may be routed to the veterinary clinic associated with your appointment or may not be monitored. To reach your clinic directly, use the contact information your clinic has provided to you.
Changes to the program
We may modify or terminate the SMS program at any time. Material changes will be communicated via the Services or by email to the email address associated with your account.
Privacy
Our handling of phone numbers and SMS data is described in our Privacy Policy at https://kumba.pet/privacy. No mobile information or SMS opt-in or consent data is shared with third parties or affiliates for marketing or promotional purposes.
9. Third-Party Services and Integrations
The Services may interoperate with third-party tools, platforms, or integrations, including our SMS delivery provider. We are not responsible for third-party services, and your use of them is subject to their terms and privacy policies.
10. Fees and Payments
If you purchase paid plans or features, you agree to the pricing and payment terms presented at checkout or in your order form. Unless stated otherwise:
- Fees are non-refundable.
- You authorize us (or our payment processor) to charge applicable fees and taxes.
- Late or failed payments may result in suspension or termination of access.
11. Confidentiality
Each party may receive non-public information from the other party. The receiving party will protect confidential information with reasonable care and use it only for purposes of performing under these Terms, except where disclosure is required by law.
12. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, KUMBA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE OPERATION.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KUMBA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. KUMBA’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT PAID BY YOU TO KUMBA FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
14. Indemnification
You agree to defend, indemnify, and hold harmless Kumba and its officers, directors, employees, and affiliates from claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of: (a) your use of the Services; (b) your Customer Data; (c) your violation of these Terms or applicable law; and (d) if you are a Clinic User, your collection of Pet Owner phone numbers or other personal information in violation of applicable law, or your failure to satisfy the Clinic User obligations in Section 5.
15. Suspension and Termination
We may suspend or terminate access to the Services if we reasonably believe you have violated these Terms, created risk or harm, or if required by law. You may stop using the Services at any time.
Upon termination, rights granted to you under these Terms will end, except provisions that by nature should survive.
16. Governing Law and Dispute Resolution
[ATTORNEY REVIEW REQUIRED. Governing law, venue, arbitration, and class-action waiver provisions have significant effects on dispute resolution, particularly for TCPA class actions, and should be drafted by counsel.]
These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law rules. The state and federal courts located in Ocean County, New Jersey, will have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Services, unless otherwise required by applicable consumer protection law.
17. Changes to These Terms
We may modify these Terms from time to time. We will post updated Terms on this page and update the effective date. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
